TERMS OF SERVICE
SiteClause
Effective date: September 18, 2026
1. Acceptance of Terms
These Terms of Service ("Terms") are a binding agreement between you and SiteClause LLC d/b/a SiteClause ("we," "us," or "our") governing your access to and use of siteclause.com and the SiteClause web application (the "Services"). By creating an account, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.
2. Eligibility
You must be at least 18 years old to use the Services. By using them, you represent that you meet this requirement.
3. Accounts
To access certain features, you must register for an account. You agree to provide accurate information, to keep it current, and to keep your credentials secure. You are responsible for all activity under your account and must notify us of any unauthorized use.
You may not share your account or maintain more than one account without our permission.
4. Fees, Subscriptions, and Billing
Access to paid features requires a subscription or payment. Fees are billed per order, as a one-time charge at checkout using the payment methods we accept. All fees are exclusive of taxes unless stated otherwise.
Refunds. Because documents are generated and delivered immediately after payment, orders are non-refundable once your document has been generated. If generation fails or you were charged in error, contact support@siteclause.com and we will make it right.
We may change our fees upon prior notice; changes apply to the next billing cycle.
If your payment fails or is overdue, we may withhold delivery of the document until payment clears.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms
- Resell, sublicense or redistribute generated documents as a competing document-generation service
- Represent the Services or any generated document as legal advice given by an attorney
- Attempt to gain unauthorized access to another user's account, documents or data
- Interfere with, disrupt, overload or reverse engineer the Services
- Upload unlawful, infringing or deliberately false information into the questionnaires
- Use automated means to scrape, copy or harvest content from the Services
We may investigate violations and may suspend or terminate access for conduct that violates these Terms or harms the Services or other users.
6. User Content
The Services may allow you to submit, upload, or share content ("User Content"). You retain ownership of your User Content, and you grant us a limited, non-exclusive, royalty-free license to host, store, reproduce, and display it as necessary to operate and improve the Services. You are solely responsible for your User Content and represent that you have all rights necessary to submit it and that it does not violate any law or third-party right.
Moderation. We do not routinely review questionnaire answers, but we may remove content that violates these Terms or the law.
7. Intellectual Property
The Services, including all software, content, features, and trademarks (excluding User Content), are owned by SiteClause LLC or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the Services except as permitted by law.
If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.
8. Third-Party Services
The Services may integrate with or link to third-party products and services that we do not control. Your use of them is governed by their own terms, and we are not responsible for them.
9. Service Availability, Changes, and Termination
We provide the Services on a commercially reasonable, best-effort basis and do not guarantee uninterrupted availability.
We may modify, suspend, or discontinue any part of the Services at any time.
Termination by you. You may stop using the Services at any time and may close your account through your account page or by emailing support@siteclause.com.
Termination by us. We may suspend or terminate your access for violation of these Terms, fraudulent or abusive activity, or non-payment, with or without notice where appropriate.
Effect of termination. Upon termination, your right to use the Services ends. We will retain your order and invoice records as required by law and will delete your generated documents after any applicable retention period; download your documents before closing your account.
10. Disclaimers
The Services are provided "AS IS" and "AS AVAILABLE." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
11. Limitation of Liability
To the fullest extent permitted by law, SiteClause LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or relating to the Services. Our total aggregate liability for any claim is limited to the total amount you paid to us for the order giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless SiteClause LLC and its officers, employees, and agents from any claims arising out of your use of the Services, your User Content, or your breach of these Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules.
Informal resolution. Before starting a formal dispute, the parties agree to attempt to resolve it informally by contacting each other for 30 days.
Venue. Any dispute will be brought exclusively in the state or federal courts located in Utah.
Jury waiver. To the extent permitted by law, the parties waive any right to a jury trial.
14. Changes to These Terms
We may update these Terms from time to time. We will provide notice of material changes by posting the updated Terms on this page and updating the effective date and update the effective date. Your continued use of the Services after changes take effect constitutes acceptance.
15. General
These Terms are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. We may assign these Terms; you may not without our consent. Our failure to enforce a provision is not a waiver. Neither party is liable for delays or failures caused by events beyond its reasonable control.
